In line with the EU Green Deal, the new EU Corporate Sustainability Reporting Directive (CSRD) introduces a significant expansion of environmental, social and governance (ESG) reporting requirements.

The CSRD must be transposed into national law in all member states within 18 months, by July 6, 2024. This must be done in such a way that the Directive can be applied as of January 1, 2024, meaning that it may have to be implemented retroactively.

CSRD aims to strengthen sustainability reporting to stakeholders and to improve the disclosure of non-financial information by companies − meaning everything they do voluntarily and without financial motivation for the sustainability of their company. Which companies are affected depends on several criteria.

The CSRD also requires companies to obtain limited assurance on the sustainability information they disclose. This assurance must be provided by an impartial, reliable, and experienced third party engaged to verify the data.

What is CSRD About?

Central to the CSRD is the inclusion of sustainability statements in the company's annual report. These statements should include a mix of sector-agnostic, sector-specific, and company-specific information that is closely aligned with the requirements of the European Sustainability Reporting Standards (ESRS).

The CSRD will effectively replace the Non-Financial Reporting Directive (NFRD) and significantly expand both the reporting obligations and the scope of companies that will be required to report.

In addition, the CSRD includes the formulation of implementation plans to facilitate the transition to a sustainable economy.

Companies will need to provide insight into the due diligence processes used to address sustainability issues and outline the actual and potential negative impacts of their operations and value chain.

What are the differences between CSRD and ESRS?

The ESRS are the new European Sustainability Reporting Standards that are being developed as part of the CSRD. The CSRD sets the legal framework and reporting obligations, while the ESRS provides the roadmap for compliance.

They define the scope and structure of future sustainability reporting and provide companies with clear guidelines for the disclosure of environmental, social and governance issues.

The CSRD mandates reporting in accordance with the ESRS. The standards include General Requirements (ESRS 1), General Disclosures (ESRS 2) and 10 sets of more specific standards on environmental, social, and governance (ESG) standards. All standards, except ESRS 2, are subject to a materiality assessment to ensure that companies focus on relevant sustainability issues.

What are the differences between CSRD and ESG?

In short, the CSRD is part of the ESG reporting requirements for organizations.

The European Union's Green Deal aims to make the EU carbon neutral by 2050 and to channel financial flows into sustainable projects and companies. The comprehensive program also includes three important environmental, social, and governance (ESG) guidelines and regulations for sustainability reporting:

  • EU Taxonomy,
  • Corporate Sustainability Reporting Directive (CSRD), and
  • Sustainable Finance Disclosure Regulation (SFDR).

Who needs to comply with CSRD?

The number of affected companies will gradually increase based on various criteria, as shown in our timeline graphic.

  1. January 1, 2024: All large EU and non-EU companies listed on an EU regulated market (> 500 employees) already subject to the NFRD.
  2. January 1, 2025: Other large EU and non-EU companies listed on an EU regulated market) that meet at least 2 of the 3 criteria:
    - More than 250 employees
    - Turnover of more than €40 million
    - Balance sheet of more than €20 million
  3. January 1, 2026: Small and non-complex credit institutions and captive insurance companies.
    As well as small and medium-sized enterprises (including non-EU based SMEs), except micro-enterprises, listed on an EU-regulated market. Includes an option to opt out of CSRD reporting until 2029 (i.e., effective date of 2028).
  4. January 1, 2028: non-EU ultimate parent companies with substantial activities* and presence in the EU.
